Cartalyst AI — Website Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website located at https://cartalyst.ai (the “Site”) and the services provided by Cartalyst AI (“Cartalyst”, “we”, “our”, “us”), an unincorporated UK-based business currently in the process of establishing a registered company. By accessing the Site or using our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Site or our services.

1. Eligibility
   You may use the Site and our services only if:
   You are at least 16 years old
   You have the legal capacity to enter into binding agreements
   If using the Site on behalf of an organisation, you are authorised to bind that organisation to these Terms
   Your use of the Site on behalf of an organisation constitutes that organisation's agreement to these Terms.

2. About the Service
   Cartalyst AI provides an AI-powered conversational sales agent (“Agent”) that integrates with e-commerce stores via API. The Agent is designed to assist shoppers in finding products and making purchasing decisions during their browsing session. The Site provides general information about Cartalyst AI, including product descriptions, service overviews, marketing materials, contact forms, and enquiry submission tools. Any commercial engagement with Cartalyst AI’s products or services will be governed by a separate written agreement, which shall control in the event of any conflict with these Terms.

3. Permitted Use
   You may access and use the Site solely for:
   Learning about Cartalyst AI and its services
   Evaluating our services for potential commercial engagement
   Contacting us and submitting enquiries
   You must not:
   Use the Site for unlawful, fraudulent, or harmful purposes
   Copy, reproduce, distribute, or modify any part of the Site or its content
   Attempt to gain unauthorised access to the Site, our servers, or related systems
   Interfere with the normal operation of the Site
   Use automated tools (scrapers, crawlers, bots) to collect data without our prior written consent
   Introduce malware, viruses, or other harmful code
   Misrepresent your identity or affiliation
   Conduct competitive analysis of our services without our prior written consent
   Violation of these Terms may result in immediate suspension or restriction of access.

4. Subscription, Billing, and Suspension
   4.1 Free Trial
   Access to the Cartalyst AI service is provided free of charge for an initial period of one (1) month from the date of first activation (Free Trial). No payment is required during the Free Trial.

4.2 Billing
Upon expiry of the Free Trial, continued use of the service is subject to payment of applicable fees as set out in your separate commercial agreement with Cartalyst AI. Billing commences automatically at the end of the Free Trial unless you notify us of your intent to discontinue prior to that date.

4.3 Suspension for Non-Payment
If a payment is not received by its due date, Cartalyst AI will provide written notice to the client. If payment is not received within approximately seven (7) days of such notice, Cartalyst AI reserves the right to suspend access to the service without further notice. Cartalyst AI will use reasonable efforts to provide timely notice before suspension, but is not liable for any loss or disruption resulting from suspension for non-payment.

4.4 Termination and Data Deletion
Upon termination of a client's contract — whether by the client or by Cartalyst AI — all client data stored on Cartalyst AI's infrastructure, including shopper conversation data, will be deleted within a reasonable period following the effective date of termination. Requests for expedited deletion should be submitted to robert@cartalyst.ai.

5. AI-Generated Recommendations and Limitations
   5.1 Nature of the Agent
   The Cartalyst AI Agent is an AI-powered system and, like all AI systems, is subject to limitations and may produce inaccurate, incomplete, or inappropriate responses. Product recommendations, availability information, and other outputs generated by the Agent should be independently verified.

5.2 Limitation of Liability for Agent Output
Cartalyst AI is not liable for any loss or damage arising from reliance on recommendations or information provided by the Agent, including but not limited to incorrect product suggestions, inaccurate pricing or availability information, or other errors in Agent output. Clients deploying the Agent are responsible for ensuring that shoppers are clearly informed that they are interacting with an AI system, and that Agent recommendations may not always be accurate.

5.3 Our Commitment
Cartalyst AI is committed to continuously improving the quality and accuracy of the Agent. We will respond promptly to reported issues and take reasonable steps to reduce errors over time. However, no AI system can guarantee error-free performance, and this commitment does not create any contractual warranty or representation.

6. Privacy
   Your use of the Site is governed by our Privacy Policy, available at https://cartalyst.ai/privacy, which explains how we collect and process personal information. The Privacy Policy is incorporated into these Terms by reference.

7. Intellectual Property
   All content on the Site — including text, images, graphics, logos, videos, designs, software, and code — is owned by Cartalyst AI or its licensors and is protected under applicable intellectual property laws. Except for a limited right to access and view the Site, no rights are granted to you. You must not reproduce, distribute, reverse engineer, or create derivative works based on the Site or its content.

8. Third-Party Links
   The Site may include links to third-party websites or services. Cartalyst AI does not control or endorse these websites and is not responsible for their content, privacy practices, security, or availability. Accessing third-party sites is at your sole risk.

9. Site Availability
   We aim to keep the Site operating reliably, but we do not guarantee uninterrupted access, error-free performance, full accuracy of content, or absolute security. We may modify, suspend, or discontinue the Site at any time without prior notice.

10. No Warranties
    To the fullest extent permitted by applicable law, the Site and all content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding accuracy, reliability, suitability, security, availability, or fitness for a particular purpose. Your use of the Site is entirely at your own risk.

11. Limitation of Liability
    To the maximum extent permitted by applicable law:
    Cartalyst AI shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of the Site or our services
    Our total aggregate liability for any claims related to your use of the Site will not exceed £100, or the amount you paid to access the Site (if any), whichever is greater
    Nothing in these Terms limits liability where such limitation is not permitted by law, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

12. Indemnification
    You agree to indemnify and hold harmless Cartalyst AI from any claims, losses, liabilities, costs, or expenses arising from:
    Your breach of these Terms
    Your misuse of the Site or our services
    Your violation of any third-party rights
    This obligation survives termination of your use of the Site.

13. Changes to These Terms
    We may update or modify these Terms at any time. Revised Terms will be posted on this page with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

14. Governing Law
    These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be resolved exclusively in the courts of England and Wales.
